SUBSCRIPTION & BILLING TERMS

These Subscription & Billing Terms (the “Billing Terms”) govern all paid access to the الابداع والامان لتصميم وتطوير أنظمة الحاسوب ذ.م.م d.b.a. AIVAC Services and form an integral part of the AIVAC Legal Framework, including the Terms of Use and Privacy Policy.

By purchasing, activating, or using any paid Service, you irrevocably agree to these Billing Terms.

1. SUBSCRIPTION STRUCTURE

AIVAC Services are provided on a subscription and usage-based model, which may include:

- One-time setup fees;

- Recurring monthly subscription fees;

- Included usage (minutes and/or messages);

- Usage-based overage charges.

Subscription details, pricing, limits, and inclusions are defined at the time of purchase or activation.

2. SETUP FEES

Setup fees:

- are charged once per account or deployment;

- cover technical configuration, provisioning, and onboarding;

- are earned immediately upon payment.

- Setup fees are non-refundable under all circumstances.

3. INCLUDED USAGE

Each subscription includes a defined quantity of:

- telephone minutes;

- messages (Email, WhatsApp, Facebook, Instagram, chat, or other supported channels).

Included usage:

- does not roll over;

- expires at the end of each billing cycle;

- has no cash value.

4. AUTOMATIC OVERAGE BILLING

If you exceed your purchased usage limits, you expressly authorize AIVAC to automatically charge your payment method for additional usage blocks, without prior notice, in increments of:

- 250 minutes, and/or

- 250 messages

depending on the type of overage incurred.

You acknowledge and agree that:

- usage monitoring is automated;

- overages may occur without warning;

- charges are final once incurred.

5. BILLING & PAYMENT AUTHORIZATION

5.1 Payment Processor

All payments are processed through Stripe or another AIVAC-approved processor.

AIVAC does not store full payment card details.

5.2 Authorization

By providing a payment method, you authorize AIVAC (and its payment processor) to:

- charge all applicable fees;

- charge recurring subscription fees automatically;

- charge overage fees as incurred.

6. BILLING CYCLE & RENEWAL

Subscriptions:

- are billed monthly in advance;

- automatically renew unless cancelled in accordance with these terms.

You remain responsible for all charges incurred prior to cancellation.

7. FAILED PAYMENTS

If payment fails for any reason:

- AIVAC may immediately suspend Services;

- usage may be blocked without notice;

- outstanding balances remain payable.

AIVAC reserves the right to reattempt charges and recover unpaid amounts.

8. TAXES

All fees are exclusive of taxes, duties, or governmental charges.

You are solely responsible for:

- VAT;

- sales taxes;

- telecom surcharges;

any other applicable taxes.

9. NO REFUNDS

9.1 General Rule

ALL FEES ARE FINAL, NON-REFUNDABLE, AND NON-CREDITABLE, including but not limited to:

- setup fees;

- subscription fees;

- unused usage;

- overage charges;

- early termination;

- dissatisfaction with AI outputs or performance.

9.2 No Exceptions

No refunds or credits will be issued for:

- unused minutes or messages;

- partial billing periods;

- service interruptions caused by third parties;

- suspension or termination for misuse or non-payment;

- AI errors or unexpected outcomes.

9.3 Chargebacks

Initiating a chargeback without first contacting AIVAC constitutes a material breach of the Terms of Use.

AIVAC reserves the right to:

- dispute chargebacks;

- suspend or terminate accounts;

- recover associated costs, fees, and damages.

10. PRICE CHANGES

AIVAC may modify pricing at any time.

Price changes:

- apply prospectively;

- take effect at the next renewal cycle;

- do not entitle you to refunds.

11. SUSPENSION & TERMINATION FOR NON-PAYMENT

AIVAC may suspend or terminate Services if:

- payment is overdue;

- chargebacks occur;

- billing disputes remain unresolved.

Termination does not waive outstanding payment obligations.

12. LIMITATION OF LIABILITY

Billing-related liability is subject to the limitation of liability set forth in the Terms of Use.

13. Amendments

We may update these SUBSCRIPTION & BILLING TERMS from time to time. Updates will be posted on the Website with a new “Last Updated” date. Continued use of our Services after updates means you accept the revised Terms.

14. GOVERNING LAW & DISPUTE RESOLUTION

These Billing Terms are governed by the laws of the Hashemite Kingdom of Jordan.

All disputes shall be resolved through binding arbitration in Jordan, conducted in English.
